In this role, you will report into the Corporate Legal Director.Lime is at an exciting inflection point as we scale rapidly toward our next stage of growth. This is a unique opportunity to make a significant impact as we build the foundation for long-term success.What you’ll do:<ul style=""><li>Maintain corporate records, including minute books, stock ledgers, and other key corporate documents.</li><li>Assist with the maintenance of domestic and international subsidiary entity activity and compliance, jurisdictional qualifications to do business, and related entity and corporate governance items.</li><li>Manage corporate filings and ensure timely submission of reports to regulators, including annual reports, proxies, and 8-Ks.</li></ul><ul style=""><li>Prepare and assist with filing periodic reports (10-K, 10-Q, 8-K) and Section 16 filings (Forms 3, 4, and 5) with the U.S. Securities and Exchange Commission (SEC).</li><li>Assist in the preparation of annual proxy statements and coordinate the annual shareholder meetings, including notice of meetings and proxy materials.</li></ul><ul style=""><li>Monitor insider trading and compliance with Section 16 rules.</li></ul><ul style=""><li>Assist with due diligence efforts for M&amp;A transactions, including coordinating document collection and review.</li><li>Assist with various corporate projects as assigned, such as internal audits, litigation matters, or special projects.</li></ul>About you:<ul style=""><li>10+ years of experience as a corporate paralegal, preferably in a publicly traded company or law firm specializing in public company compliance.</li><li>Bachelor’s degree or paralegal certificate from an ABA-approved program is required.</li><li>Proven experience in maintaining corporate governance and managing public company compliance.</li><li>Strong knowledge of SEC filings, public company governance, securities laws and reporting requirements.</li><li>Strong written and verbal communication skills, with the ability to collaborate across departments and influence stakeholders at all levels.</li><li>Experience with the securities offerings processes.</li><li>Experience working with Board of Directors communications and corporate secretarial functions.</li><li>Experience in technology or high-growth industries is a plus.</li></ul>#LI-REMOTE #LI-SE1If you want to make an impact, Lime is the place for you.
