Reporting to the General Counsel, you will be responsible for overseeing compliance activities, governance and company secretarial duties within the organization. Duties and responsibilities  Compliance Oversight <ul><li>Develop, draft, implement and maintain the Company’s compliance policies, procedures, frameworks and controls (e.g. anti-bribery and corruption, data privacy, competition law) to ensure Company-wide compliance and mitigate compliance risks effectively.</li><li>Stay abreast of regulatory developments, advise on necessary adjustments to internal policies and ensure that the company complies with all relevant laws, regulations, and industry standards.</li><li>Coordinate compliance activities, including regulatory filings, audits, and inspections, and ensure timely resolution of any compliance issues.</li><li>Undertake due diligence assessments and reports on third parties contracting with the Company.</li><li>Manage and investigate compliance related issues, enquiries and or incidents.</li></ul> Company Secretarial Duties <ul><li>Provide comprehensive company secretarial support, including organizing board meetings, preparing agendas, minutes, and resolutions, and maintaining statutory records.</li><li>Maintenance of all Company and subsidiary records and managing any corporate changes (e.g. director changes or appointments, share transfers).</li><li>Ensure compliance with corporate governance requirements and best practices, including adherence to the Companies Act and other relevant legislation.</li><li>Act as a key point of contact for board members, shareholders, and regulatory authorities on corporate governance matters.</li><li>Draft necessary documents to ensure corporate governance processes and procedures are implemented.</li><li>Ensure timely and accurate reporting and communication with shareholders and Board of Directors.</li><li>Assisting with bidding and financial close corporate governance requirements</li></ul> Corporate Governance <ul><li>Support the Board of Directors and subcommittees with governance processes.</li><li>Ensure adherence to King IV principles and corporate governance best practices.</li><li>Assist in the development and review of corporate governance policies, frameworks, procedures and internal guidelines.</li><li>Maintain governance records, policies, Board charters, and committee terms of reference.</li><li>Provide guidance on director responsibilities, conflicts of interest, and fiduciary duties.</li></ul> Stakeholder Engagement <ul><li>Collaborate with internal stakeholders, including senior management, legal counsel, and finance teams, to facilitate effective risk management and compliance initiatives.</li><li>Build and maintain positive relationships with external stakeholders, including regulatory agencies, industry associations, and community partners.</li></ul> Training and Awareness <ul><li>Develop and deliver training programs to enhance employee awareness and understanding of risk management, compliance obligations, and corporate governance principles.</li><li>Provide guidance and support to the Company on compliance-related matters, fostering a culture of accountability and ethical conduct.</li></ul> Required skills and education background <ul><li>Bachelor’s degree in law, (LLB). Additional certifications (e.g., Certified Risk Manager, Certified Compliance Professional) preferred.</li><li>Proven experience (5+ years) in risk management, compliance, and/or company secretarial roles, preferably within the renewable energy or energy sector.</li><li>In-depth knowledge of regulatory requirements, corporate governance principles, and risk management frameworks.</li><li>Strong analytical skills and attention to detail, with the ability to assess complex situations and propose effective solutions. High level of attention to detail and accuracy.</li><li>Excellent communication, interpersonal, and stakeholder management skills.</li><li>Ability to work independently, prioritize tasks, and meet deadlines in a fast-paced environment.</li></ul> Desirable attributes The ideal candidate would have a passion for the Renewable Energy sector and personality traits would include a high level of integrity, discretion, diligence, determination, resilience, and agility.
